1. Acceptance of these Terms
These Terms of Service (“Terms”) govern your access to and use of the ClassesFlow website, web application, and related services (collectively, the “Service”), operated by Scalar Intelligence LLC, a Texas limited liability company (“we,” “us,” or “Scalar Intelligence”). By creating an account, accepting an invitation, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you are accepting these Terms on behalf of an organization (a school, district, employer, or other entity), you represent that you have authority to bind that organization, and “you” refers to both you personally and that organization.
2. Eligibility
You must be at least 18 years old to create a ClassesFlow account. Educators may use the Service to create instructional content for learners of any age, but the account holder must be 18 or older and responsible for compliance with any laws applicable to those learners (including FERPA, COPPA, and state student-data privacy laws where applicable).
Anyone who meets these eligibility requirements may create an account. We may suspend or revoke access at our discretion, including for the reasons set out in Section 10.
3. What the Service does
ClassesFlow is a software-as-a-service platform that helps educators design and run AI-assisted classroom experiences — including AI-generated lectures, interactive scenes, quizzes, and multi-agent discussions. The Service relies on third-party AI providers to generate content from prompts and uploads you supply (see Sub-Processors).
We may modify, suspend, or discontinue any feature of the Service at any time. We will give reasonable advance notice for material changes that adversely affect paying customers, where practical.
4. Accounts and security
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly at support@classesflow.com if you suspect unauthorized access. We are not liable for losses resulting from your failure to maintain account security.
You may not share account credentials, transfer your account, or create accounts on behalf of others without their consent.
5. Subscriptions, Educator student spots, and payment
The Service is offered under the following commercial models, each billed and processed through Stripe:
- Solo Monthly — a recurring monthly subscription for an individual educator. Billed at the start of each monthly billing period until cancelled.
- Solo Annual — a recurring annual subscription for an individual educator. Billed at the start of each annual billing period until cancelled.
- Educator Student Spot Packs — one-time purchases of learner student spots for a group. Student spots are credited to your account spot pool and can be allocated to groups at your discretion.
Prices are listed in U.S. dollars and exclude applicable sales tax, value-added tax (VAT), or similar taxes, which we calculate and collect at checkout where we are registered to do so. Subscriptions auto-renew at the then-current price until cancelled. We may change prices for future billing periods on at least thirty (30) days’ notice; you may cancel before the change takes effect to avoid the new price.
Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.
6. Acceptable use
You agree not to use the Service to:
- Violate any applicable law, including intellectual property, export control, consumer protection, or privacy laws.
- Generate, distribute, or display content that is unlawful, harmful to minors, harassing, defamatory, fraudulent, or deceptive.
- Bypass, disable, or interfere with security or access-control mechanisms, including rate limits, free-tier caps, or account isolation.
- Use the Service to develop a competing product, including by scraping outputs at scale to train your own model.
- Submit content you do not have the right to submit, or that infringes the intellectual property, privacy, or other rights of any third party.
- Use the Service to impersonate any person or entity, or misrepresent your affiliation with one.
We may investigate suspected violations, remove offending content, and suspend or terminate accounts as described in Section 10.
7. Your content and license to us
Your Content means any text, files, prompts, uploads, or other material you submit to the Service. You retain all ownership and intellectual property rights in Your Content.
You grant Scalar Intelligence a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process Your Content solely to operate, secure, and improve the Service for you and your organization. This license ends when you delete the content or close your account, subject to reasonable backup-retention windows described in our Privacy Policy.
You are responsible for the lawfulness of Your Content. We do not pre-screen content, but we may remove content that violates these Terms or that we are legally required to remove.
8. AI-generated output and limitations
The Service uses third-party AI models to generate text, images, audio, and other output from Your Content (the “AI Output”). AI Output is generated probabilistically and may be inaccurate, incomplete, misleading, or unsuitable for your purpose. You are responsible for reviewing AI Output before relying on it for any educational, professional, medical, legal, financial, or decision-making purpose.
As between you and us, you own the AI Output to the extent permitted by applicable law and the terms of the underlying AI providers. Because AI Output is generated from models trained on third-party data, we cannot guarantee that AI Output is unique to you or that it does not resemble output generated for other customers.
You agree not to represent AI Output as having been generated by a human if doing so would be deceptive in context.
9. Our intellectual property
The Service, including its software, design, trademarks, and documentation, is owned by Scalar Intelligence or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service as permitted by these Terms.
“ClassesFlow,” “Scalar Intelligence,” and our logos are trademarks of Scalar Intelligence. You may not use them without our prior written permission, except to refer factually to the Service.
10. Suspension and termination
You may cancel your subscription at any time from your account billing page. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.
We may suspend or terminate your access to the Service at any time if we believe (acting reasonably) that you have violated these Terms, that doing so is necessary to protect the Service or other users, or that we are required to do so by law. Where reasonably possible we will give you advance notice and an opportunity to cure.
Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution — will survive.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION.
We do not warrant that AI Output is accurate, complete, current, appropriate for any specific learner or context, or free from bias. You are responsible for reviewing and verifying AI Output before using it.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER SCALAR INTELLIGENCE NOR ITS AFFILIATES, SUPPLIERS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES; OR ANY DAMAGES ARISING OUT OF AI OUTPUT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (b) ONE HUNDRED U.S. DOLLARS ($100.00).
These limitations apply to the maximum extent permitted by law. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability; in those jurisdictions our liability is limited to the smallest extent permitted by law.
13. Indemnification
You will indemnify and hold harmless Scalar Intelligence and its affiliates, officers, employees, and agents from and against any third-party claim, loss, damage, liability, cost, or expense (including reasonable attorneys’ fees) arising out of (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your alleged infringement of any third-party right.
14. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any action or proceeding arising out of these Terms or the Service will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.
Before filing a claim, you agree to attempt to resolve the dispute informally by emailing us at support@classesflow.com and giving us thirty (30) days to respond.
15. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will give you reasonable advance notice — by email to the address on file or by a prominent notice in the Service — before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may stop using the Service and cancel your subscription before the effective date.
